When Is the Annual Certificate Due?

On the anniversary of the day your Articles of Organization were filed, every year. Not December 31, not a fixed statewide date: your own formation date sets your deadline, so an LLC formed on March 9 owes its certificate every March 9. The filing window opens 60 days before the anniversary, so there is a comfortable two-month runway to get it done early.

One habit protects you here more than any other: keep your email address current with the Secretary of State. The SOS sends the annual certificate notice to the LLC's last-known email address at least 60 days before the anniversary. It is an email notice, not a postal one, so a dead inbox means the reminder evaporates while the deadline does not.

The fee is $25, unchanged whether you file online or on paper. There is no statutory late fee stacked on top; Oklahoma's pressure comes from the good-standing clock described below rather than from a fine.

  1. Watch for the SOS email notice, or simply calendar your anniversary with a 60-day head start; the window is open from that point.
  2. File online through the Secretary of State's Online Business Filing System at sos.ok.gov, or on paper using the LLC Annual Certificate form, SOS-FORM-0097. The same form serves domestic and foreign LLCs.
  3. Confirm your principal place of business. It must be a street address; the state will not accept a PO box for it. The certificate is signed by one member or manager, and that signer is the only person named. It does not list your members or managers, and it neither shows nor updates your registered agent, so agent changes need their own filing (Form 0075, $25).
  4. Pay the $25 and keep the confirmation. If you file in person, same-day handling adds a $25 expedite fee per document; online and mail filings have no such surcharge.

Nothing dramatic happens on day one. The statute gives you 60 days after the anniversary; an LLC that has not filed by then ceases to be in good standing under 18 O.S. § 2055.2. That status blocks the everyday things a company needs, such as obtaining a certificate of good standing for a lender, and continued non-filing eventually leads to cancellation of the LLC itself. The cure is unglamorous and cheap: file the overdue certificate and pay the $25.
